Terms of Use
Effective October 3, 2026
Please read these Terms carefully. They explain your rights and responsibilities when you use Kenby, including how paid plans renew, how AI answers should be relied on, and how disputes are resolved.
1. Agreement to these terms
These Terms of Use (“Terms”) are an agreement between you and Kenby (“Webomax”, “we”, “us”) and govern your use of Kenby, including the website at kenby.app, the web app, the REST API and the MCP server at mcp.kenby.app (together, the “Service”). By creating an account or using the Service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.
If you use the Service for an organization, you accept these Terms on its behalf and confirm that you have authority to do so; “you” then means that organization.
2. Eligibility and accounts
- You must be at least 16 years old and, if you buy a paid plan, old enough to form a binding contract where you live.
- Give accurate account information and keep it current. You are responsible for everything that happens under your account, including through your API keys and the AI apps you connect.
- Keep your password and API keys secret. Tell us at info@kenby.app right away if you suspect unauthorized use.
- One person per account; do not share accounts or resell access.
3. The Service
Kenby stores the notes you add, indexes them, verifies which passages answer your questions, and writes cited answers from those passages for you and for the agents you connect. We may change, add or remove features as the Service develops. If we remove a feature you pay for in a way that materially reduces the Service, we will tell you in advance where reasonably possible.
4. Your content
You own your content. “Your content” means the notes, files, questions and other material you or your connected agents put into the Service, and the answers produced for you. We claim no ownership of it.
You give Webomax a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display your content only as needed to provide, secure and support the Service for you, including sending it to the AI providers that power search, verification and answers as described in the Privacy Policy. This license ends when your content is deleted from the Service, except for copies kept for a limited time in backups. We do not use your content to train AI models.
You confirm that:
- you have the rights needed to upload your content and to let us process it this way;
- your content does not infringe anyone’s intellectual property, privacy or other rights;
- you will not upload information that you are not allowed to share with a cloud service, and that, unless we agree otherwise in writing, you will not upload protected health information, payment card data, government ID numbers or other data that requires special legal handling. We are not a “business associate” under HIPAA.
You can export your knowledge base and delete your content or account at any time. Keep your own backup of anything important.
5. AI answers
Answers are generated by AI from your own notes. Kenby checks passages before answering from them, but verification lowers the risk of mistakes; it does not remove it. Answers can be incomplete, out of date or wrong, and they are only as accurate as the notes they come from.
Check important answers against the cited sources. Answers are not legal, medical, financial or other professional advice, and you are responsible for decisions you or your agents make based on them.
6. Agents, API and connected apps
- You may connect AI apps and agents through MCP or the REST API with API keys or by approving them through sign-in. You are responsible for what they do with your account, including notes they add or edit when you give them write access.
- Connected apps are third-party services governed by their own terms. Webomax is not responsible for them or for what they do with content they receive from Kenby.
- Respect the rate limits and plan limits, and do not try to get around them, for example by creating several accounts or sharing keys.
- You can revoke a key or disconnect an app at any time in Connect agents.
7. Acceptable use
You agree not to:
- break the law, or use the Service to infringe or violate anyone’s rights;
- upload malware, or content that is unlawful, exploits minors, or promotes violence or harassment;
- probe, scan or test the Service’s vulnerabilities, bypass its security or access controls, or access another user’s data;
- use the URL import or any other feature to reach systems you are not allowed to access, or to send spam;
- overload or disrupt the Service, or scrape it or access it by automated means other than the API and MCP server we provide;
- reverse engineer the Service except where the law allows it, or use it to build a competing product;
- use the Service to develop or train AI models that compete with it, or to extract the output of the AI models behind it in bulk;
- help anyone else do any of the above.
8. Plans, payment and cancellation
- Free plan. The Free plan includes a limited number of questions and pages each month and is meant for trying Kenby. We may change its limits.
- Subscriptions. Paid plans are billed in advance, monthly or yearly, and renew automatically at the then-current price until you cancel. You can cancel at any time in Settings → Billing; your plan stays active until the end of the period you paid for, and is not renewed after that.
- Allowances. Monthly question allowances reset on the first day of each month (UTC). Unused questions in an allowance do not carry over.
- Extra questions. Question packs can be bought on a paid plan. They do not expire, but can only be used while you are on a paid plan, and they are lost if you delete your account.
- Payments are processed by Stripe under its terms. Prices are shown before you pay and exclude taxes unless stated; you are responsible for applicable taxes.
- Price changes. We will tell you at least 30 days before a price change affects your subscription. It applies from your next renewal, and you can cancel before then.
- Refunds. Except where the law requires otherwise, payments are not refundable, including for partial periods and unused questions. If something went wrong with a charge, contact info@kenby.app and we will look into it.
- Unpaid charges. If a payment fails, we may move your account to the Free plan until it is settled.
If you are a consumer in the EU or UK, you may withdraw from a purchase within 14 days by emailing info@kenby.app. When you buy, you ask us to start providing the Service right away, so if you withdraw we refund the payment minus an amount proportionate to what you already used. You lose the right of withdrawal for a question pack once you have started using it.
9. Our intellectual property
The Service, including its software, design, the Kenby name and logo, and our documentation, belongs to Webomax and its licensors and is protected by law. We give you a limited, non-exclusive, non-transferable, revocable right to use the Service under these Terms. If you send us feedback or ideas, we may use them without any obligation to you.
10. Copyright complaints
If you believe content in the Service infringes your copyright, email info@kenby.app with your contact details, the work you claim is infringed, where the material is, a statement that you believe in good faith the use is not authorized, a statement under penalty of perjury that your notice is accurate and that you are the owner or authorized to act for the owner, and your physical or electronic signature. We respond to valid notices and may close the accounts of repeat infringers.
11. Suspension and termination
You can stop using the Service and delete your account at any time in Settings → Account.
We may suspend or close your account, or revoke API keys and app connections, if you materially breach these Terms, if your use creates a security or legal risk, or if the law requires it. Where reasonable, we will tell you first and give you a chance to fix the problem and to export your content. If we close the Service entirely, we will give you at least 30 days’ notice to export your content and will refund any prepaid fees for the period after closure.
Sections that by their nature should survive, including those on your content license for backups, disclaimers, limitation of liability, indemnity and disputes, survive termination.
12. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We do not warrant that the Service will be uninterrupted, error-free or secure, that answers will be accurate or complete, or that content will never be lost.
13. Limitation of liability
To the fullest extent permitted by law, Webomax and its members, employees and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or related to the Service or these Terms, even if advised of their possibility.
Our total liability for all claims arising out of or related to the Service or these Terms is limited to the greater of (a) the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, and (b) one hundred U.S. dollars (US$100).
Some jurisdictions do not allow these exclusions or limits, so they may not fully apply to you. Nothing in these Terms limits liability that cannot be limited by law, such as for fraud, gross negligence, wilful misconduct, or death or personal injury caused by negligence.
14. Indemnity
If you use the Service for business purposes, you will defend and indemnify Webomax against third-party claims, and the resulting losses and reasonable costs, arising from your content, your agents’ actions, or your breach of these Terms or of the law.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us at info@kenby.app and try in good faith to resolve the dispute informally for at least 30 days.
Any dispute that is not resolved informally will be decided exclusively by the state or federal courts located in Delaware, and both parties consent to their jurisdiction. Either party may bring an individual claim in small claims court. To the extent permitted by law, claims may be brought only individually and not as a plaintiff or class member in any class or representative action.
If you are a consumer living in the EU, the UK or another country whose law gives you the right to bring claims in your local courts or to the protection of its mandatory consumer laws, nothing in this section takes those rights away.
16. General
- Changes. We may update these Terms. We will post the new version here and, for material changes, tell you by email or in the app at least 30 days before they take effect. If you keep using the Service after that, you accept the new Terms; if you do not agree, stop using it and cancel your plan.
- Export control. You may not use the Service where U.S. law prohibits it or if you are on a U.S. government list of restricted parties.
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and us about the Service and replace earlier agreements on the subject.
- Assignment. You may not transfer these Terms without our consent. We may transfer them in a merger, acquisition or sale of assets.
- Severability and waiver. If a provision is found unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver of it.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including outages of our hosting or AI providers.
- Notices. We send notices to the email address on your account. You send notices to info@kenby.app.
